Invenergy Strengthens Its Diversified Clean Energy Platform Through New Equity Transactions With CDPQ and AMP Capital

CHICAGO (May 22, 2018) – Invenergy, North America’s largest privately held renewable energycompany, today announced significant new equity transactions with institutional investorsCaisse de dépôt et placement du Québec (CDPQ) and AMP Capital. With respect to bothtransactions, Invenergy will maintain day-to-day management of the business, and proceeds willbe used to reduce company debt and increase Invenergy’s financial resources.

A new chapter in Invenergy Renewables’ partnership with CDPQHaving initially invested in 2013 in wind farms operated by Invenergy Renewables LLC, CDPQacquired the following year a direct stake in the company. With the transaction announcedtoday, CDPQ increases its stake and will have a 52.4% economic ownership in InvenergyRenewables, while Invenergy will continue to be the managing member of the company.

Invenergy Clean Power LLC enters into an agreement with AMP CapitalAs energy grids in the U.S. and elsewhere transition, emissions reductions and the expansion ofrenewables are being aided by lower-carbon natural gas generation. In a separate transaction,Invenergy Clean Power LLC, Invenergy’s natural gas generation holding company, has enteredinto a 50/50 partnership with global investment manager AMP Capital to invest in an operatingand development portfolio of natural gas power generation facilities across the United States,Canada and Mexico. Invenergy’s Energía del Pacífico and Clear River Energy Center projectsare not included in the partnership.

These investments are a reflection of Invenergy’s strong track record as a clean energy industryleader. Both transactions are subject to certain regulatory approvals, including with the U.S.Federal Energy Regulatory Commission.
